Supplier Terms & Conditions of Purchase


Acceptance of the purchase order

Agreement by the seller to furnish the materials or services hereby ordered or its commencement of such performance, or acceptance of any payment, shall constitute acceptance by Seller of this purchase order subject to these terms and conditions. In the event that this Purchase Order does not state the price or delivery, Buyer will not be bound to any prices or delivery to which it has not specifically agreed in writing. Any terms and conditions proposed by the Seller inconsistent with or in addition to the terms and conditions of purchase herein contained shall be void and of no effect unless specifically agreed to by the Buyer in writing. Modifications hereof or additions hereto, to be effective, must be made in writing and be signed by the Buyer’s purchasing representative. These terms and conditions, together with any referenced exhibits, attachments or other documents constitute the entire agreement between the parties with respect to the subject matter of this Purchase Order; and supersede any prior or contemporaneous written or oral agreements pertaining thereto.

If the Purchase Order directs the Seller to this web page; it means a reference to one of the following terms and conditions may apply to this purchase Order.

Purchasing information shall describe the product to be purchased including where appropriate

A) Requirements for approval of Product, Procedures and Equipment

B) Requirements for qualifications of personnel

C) Quality management system requirements

D) The name of other positive identification, and applicable issues of specifications, drawings, process requirements, inspection instructions and other relevant technical data

E) Requirements for design, test, examination, inspection and related instructions for acceptance by MilesTek

F) Requirements for test specimens (e.g. production method, number, storage conditions) for design approval, inspection, investigation or auditing,

G) Requirements relative to:

     – Supplier notification to MilesTek of nonconforming product and
     – Arrangement for MilesTek approval of supplier nonconforming material

H) Requirements for the supplier to notify MilesTek of changes in product and/or process definition and where required, obtain MilesTek’s approval

I) Right of access by MilesTek, our customer, and regulatory authorities to all facilities involved in the order and to all applicable (manufacturing) records. Records shall be controlled by the supplier in a manner consistent with their quality management system.

J) Requirements for the supplier to flow down to sub-tier supplier the applicable requirements in the purchasing documents, including key characteristics
